Senior Vice President – Legal Counsel

Job Description

Job Purpose

• Reporting into the Group General Counsel you will review a variety of legal documents and provide legal advice to the wider Aldar business in order to mitigate legal risk.

Roles & Responsibilities

• Provide accurate and timely advice to commercial teams on all aspects of corporate M&A including corporate structuring, relevant legislation, company incorporations and M&A transaction documentation

• Consider commercial instructions and apply effective risk management techniques, to offer proactive and commercial advice on potential legal risks

• Review, draft and negotiate transaction documentation

• Obtain effective instructions from the commercial teams

• Communicate effectively and provide clear legal instructions to external law firms

• Lead any legal input (alongside the general counsel and relevant commercial teams) on large, complex strategic projects

• Supervise junior members of the legal team and delegate effectively

• Build relationships with end user departments

• Comply with relevant internal governance documentation

• Research and evaluate different risks regarding business decisions and operations

• Communicate and negotiate with external parties as required

• Draft and update legal templates as required

• Deal with multiple stakeholders

• Maintain current knowledge of relevant legal updates

• Co-ordinate, follow up and monitor the progress of active matters

• Ability to prioritise work efficiently and manage multiple ongoing transactions

• Maintain accurate records of advice provided

Skills & Qualifications

RELATED YEAR OF EXPERIENCE

Min of 12+ years of relevant experience in an international law firm (or equivalent experience in house)

YOE IN MANAGERIAL POSITION

Min of 4+ years of managerial experience

FIELD OF EXPERIENCE

• Experience in M&A including share disposals and acquisitions, joint ventures and corporate structuring.

TECHNICAL AND INTERPERSONAL SKILLS

• Proven experience as a legal counsel in a commercial environment

• Demonstrated knowledge of relevant laws and ability to undertake independent research

• Excellent analytical, drafting and negotiation skills

• Excellent attention to detail

• High degree of professional ethics and integrity

• Good interpersonal skills

• Excellent communication and relationship management skills

• Ability to work well within a team and individually
